Terms and Conditions

1. Introduction​

These Terms and Conditions ("Terms") govern your use of the QuantumBPM SaaS platform ("Service") provided by Coroid s.r.o. ("Provider", "we", "us"), seated at Slovenská 52/A, 940 02 Nové Zámky, Slovakia, IČO: 48340031.

By registering for or using the Service, you agree to be bound by these Terms.

2. Services​

The Service allows users to create, manage, and execute DMN (Decision Model and Notation) decision models and BPMN (Business Process Model and Notation) process models via a web interface and API.

3. User Accounts​

  • You must provide accurate and complete information when creating an account.
  • You are responsible for maintaining the security of your account credentials.
  • You are responsible for all activities that occur under your account.
  • You agree not to share your account credentials with anyone else.
  • You agree not to upload any content that infringes on third-party intellectual property rights or rights of privacy.

4. Subscriptions and Payments​

  • Merchant of Record: Our order process is conducted by our online reseller Paddle.com. Paddle.com is the Merchant of Record for all our orders. Paddle provides all customer service inquiries and handles returns.
  • Auto-Renewal: Subscriptions automatically renew at the end of each billing cycle unless cancelled.
  • Refunds: Refund requests are handled by Paddle in accordance with their terms. EU consumers may have a 14-day right of withdrawal under Directive 2011/83/EU. This right does not apply once provision of the digital service has begun with your express consent.
  • All fees are exclusive of taxes unless stated otherwise.
  • Credits and Overage: The Service operates on a credit system for usage. For business accounts, overage (usage beyond your plan's included credits) is enabled by default to ensure uninterrupted service; you may disable overage at any time in your billing settings. For consumer accounts (natural persons not acting in the course of trade, business, craft, or profession), overage is disabled by default and requires your express opt-in via the billing settings, in accordance with Article 22 of Directive 2011/83/EU. You may enable or disable overage at any time.

5. Intellectual Property​

  • You retain all rights to the DMN decision models, BPMN process definitions, and data you upload to the Service ("User Content").
  • We retain all rights to the Service, including its code, design, and documentation.

6. Prohibited Use​

You may not use the Service for any illegal purpose, or to upload malicious code, or to violate any laws in your jurisdiction or ours. You must ensure that your use of the Service does not violate the rights of any third party.

7. Termination​

Customer cancellation: You may cancel your subscription at any time through your billing settings or by emailing support@quantumbpm.com. Your subscription will continue until the end of the current paid billing period and will not auto-renew thereafter; no further fees will be charged.

Suspension by Provider: We may suspend your access to the Service immediately, without prior notice, where reasonably necessary to: (a) prevent or stop abusive, fraudulent, or illegal activity; (b) protect the security or integrity of the Service or other users; (c) comply with a legal obligation or court order; or (d) collect on invoices unpaid for more than 30 days. We will notify you of the suspension and its grounds without undue delay.

Termination for cause: Either party may terminate this agreement for material breach by giving 30 days' written notice describing the breach. If the breach is cured within that period, the termination notice will be void. We may terminate immediately, without a cure period, for repeated breaches, for irreparable breaches (such as illegal use of the Service or infringement of third-party intellectual property rights), or where required by law — in accordance with Article 4 of Regulation (EU) 2019/1150 where applicable.

Data retrieval after termination: Upon termination by either party, your data will be available for retrieval for 30 days, after which it may be permanently deleted, except where retention is required by law (e.g., for tax records).

8. Limitation of Liability​

Limitation of Liability: To the maximum extent permitted by applicable law, in no event shall Provider be liable for any indirect, incidental, special, consequential or punitive damages, including without limitation lost profits, lost data, lost goodwill, or business interruption. Provider's total aggregate liability for any claims arising out of or relating to these Terms or the Service shall not exceed the greater of (a) the fees paid by you to Provider for the Service in the three (3) months preceding the event giving rise to the claim, or (b) one hundred euros (€100).

Carve-outs: The above limitations do not apply to liability for: (i) gross negligence or willful misconduct; (ii) fraud or fraudulent misrepresentation; (iii) death or personal injury caused by negligence; (iv) breach of confidentiality obligations; or (v) any other liability that cannot be excluded or limited under applicable law.

Warranties: To the maximum extent permitted by applicable law, the Service is provided "AS IS" and "AS AVAILABLE" without warranties of any kind, whether express or implied. Statutory rights of consumers under applicable law (including Slovak Civil Code §502 and §623, and EU Directives 2019/770 and 2019/771 on the supply of digital content and consumer sales) are not affected.

9. Governing Law and Dispute Resolution​

These Terms shall be governed and construed in accordance with the laws of the Slovak Republic, without regard to its conflict of law provisions.

Any disputes arising out of or in connection with these Terms shall be resolved by the competent courts of the Slovak Republic.
